TOMS Capital Investment Management LP (‘TCIM') is regulated by the Securities and Exchange Commission in the United States. TCIM is responsible for portfolio management in respect of TCIM ICAV (‘Fund’), an umbrella fund with segregated liability between sub-funds authorised by the Central Bank of Ireland. TCIM has been appointed as a delegate of an Irish alternative investment fund manager (the 'AIFM') with respect to the Fund.

SHAREHOLDER ENGAGEMENT DISCLOSURE

TCIM understands that certain of its clients, including EU-authorised managers such as the AIFM for which TCIM acts as delegate investment manager, may be subject to the requirements of the EU Shareholder Rights Directive II (Directive (EU) 2017/828, as implemented in relevant EU Member States) ("SRD II") when funds under management invest in EU-listed securities.

As a US-registered investment adviser, TCIM is not directly subject to SRD II and does not maintain a formal shareholder engagement policy that has been prepared in accordance with the specific requirements of SRD II. TCIM shall however act in accordance with its fiduciary duties to its clients, including in respect of shareholder engagement and proxy voting activities.
